Terms of Service

These Terms govern your use of the Adorn service operated by Outside Projects.

1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you, the merchant or business that accesses the Adorn service (the "Service"), and Outside Projects ("we", "us"). By creating an account, connecting a store or ad account, or otherwise using the Service, you accept these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service.

2. Definitions

"Service" means the Adorn platform that renders branded, rule-driven product images and emits a prioritized product catalog feed. "Merchant" or "Customer" means the account holder using the Service for its business. "Connected Accounts" means the third-party accounts you authorize us to access, such as Shopify and Meta. "Merchant Content" means the data and assets you provide or connect, including product data, brand assets, and images. "Output" means the designed images and the catalog feed the Service generates from your Merchant Content.

3. Eligibility & Accounts

The Service is for business use only and is not directed to consumers or children. Accounts are created and authenticated through our identity provider; access is organized as a tenant with an owner who may add or remove editor members. You are responsible for your members' actions, for keeping credentials secure, and for all activity under your account.

4. Description of the Service

The Service applies conditional design rules to your connected product data to render on-brand product images and to produce a supplementary catalog feed that can be prioritized for image fields in your ad platform. The feed auto-refreshes as prices, sale states, and availability change. We describe the Service accurately and make no promise of any specific advertising result, reach, or return.

5. Merchant Responsibilities & Acceptable Use

You warrant that you hold all rights necessary to the product data, brand assets, and images you connect or provide, and that our processing of them for you does not infringe any third party's rights. You will comply with the policies of the platforms you connect (including Meta's and Shopify's) and with applicable advertising, consumer-protection, and data-protection law. You will not upload unlawful, infringing, or deceptive content, and you will not abuse, overload, reverse-engineer, or attempt to gain unauthorized access to the Service.

6. Third-Party Services & Connected Accounts

Shopify, Meta, and DataFeedWatch are independent third parties, not controlled by us. When you connect an account, you authorize us to access it on your behalf through OAuth or the platform's equivalent, solely to provide the Service. Your use of those platforms remains governed by their own terms, and we are not responsible for their availability, changes, outages, or decisions. You may revoke a connection at any time through the Service or the platform.

7. License from Merchant to Adorn

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, process, transform, and render your Merchant Content solely as needed to operate and provide the Service to you, including generating the Output and delivering it through your connected feed. This license ends when the content is deleted or your account is terminated, subject to the retention described in our Privacy Policy.

8. Adorn Intellectual Property

Outside Projects owns the Service, including the platform, the rendering and rule engine, and all related software, and retains all rights not expressly granted here. You own your brand assets and product data, and, as between you and us, you own the designed images produced from them. We may use aggregate, de-identified operational data to maintain and improve the Service.

9. Fees & Billing

The Service is currently offered without charge during launch, or on the terms of a separate order form where one applies. Pricing and billing terms are not yet set and are subject to change; any future fees will be presented to you before they take effect. 10. Confidentiality

Each party may receive non-public information from the other in connection with the Service. The receiving party will use that information only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or lawfully obtained from another source, or to disclosures required by law.

11. Disclaimers & Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any Output will produce any particular advertising performance.

12. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, or data, arising out of or relating to the Service. The cap on each party's aggregate direct liability is a legal-review decision and will be set at review.

13. Indemnification

You will defend, indemnify, and hold harmless Outside Projects from and against third-party claims, and related losses and expenses, arising out of your Merchant Content, your rights (or lack of rights) in the brand assets and product data you connect, your advertising claims, or your breach of these Terms or of a connected platform's policies.

14. Term & Termination

These Terms apply while you use the Service. Either party may terminate at any time; we may also suspend or terminate access for breach, abuse, or legal or security reasons. On termination we stop processing your Merchant Content and delete or return it in accordance with the retention section of our Privacy Policy, including the platform-initiated purge that runs when a connected store is removed. Sections that by their nature should survive termination (such as ownership, disclaimers, limitation of liability, and indemnification) survive.

15. Modifications

We may modify the Service and these Terms. If we make a material change to these Terms we will provide notice through the Service or at /support. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws rules, and the parties submit to the courts located there. Any arbitration agreement or class-action waiver is a legal-review decision and will be settled at review.

17. Miscellaneous

You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the rest remains in effect. These Terms are the entire agreement between the parties on their subject matter. Neither party is liable for failure or delay caused by events beyond its reasonable control.
